3.2 Payment Obligations
- • Pay all invoices and fees in accordance with the agreed digital marketing pricing and payment schedule
- • Late payments may result in service suspension, campaign pausing, or late fees of 1.5% per month on outstanding balances
- • All third-party costs (ad spend, software subscriptions, domain fees, etc.) are your responsibility in addition to Agency fees
- • Agency reserves the right to pause services for non-payment without liability
3.3 Website & Technical Requirements

- • Accepted payment methods: Electronic bank transfer (EFT), credit card, or debit card
- • Payment terms: Net 15 days from invoice date
- • Late fees: 1.5% per month (18% annual percentage rate) on overdue amounts
- • Collections costs: All costs of collection, including legal fees, will be added to outstanding balances
5.3 Price Adjustments
Agency reserves the right to adjust SEO service costs and marketing agency rates with 30 days written notice. Price adjustments will not apply to existing contracts during their term. Digital marketing pricing is subject to change based on market conditions, scope changes, or service modifications.

Agency retains a license to use completed work for portfolio, marketing, or promotional purposes unless Client requests confidentiality in writing.

Agency retains ownership of:

- • Pre-existing content, templates, tools, software, and intellectual property
- • Agency's website, branding, marketing materials, and confidential information
- • Third-party tools, software, or platforms with Agency licenses
Client receives a non-exclusive, non-transferable license to use Agency's methodologies and tools solely for Client's business purposes during and after the service term.
6.3 Client Content & Data
Client grants Agency a royalty-free, worldwide, perpetual license to use, modify, display, and reproduce Client's provided content, trademarks, logos, and materials for the sole purpose of delivering agreed-upon digital marketing services. Client represents and warrants they have the right to grant this license for all materials provided.
7. Limitation of Liability & Disclaimer
7.1 No Guarantees on Results
Client acknowledges and agrees that:
- • SEO rankings cannot be guaranteed due to algorithm changes, competition, and factors beyond Agency's control
- • Search engine positions fluctuate naturally and are influenced by numerous external factors
- • PPC advertising performance depends on budget, competition, bid costs, and market conditions
- • Social media algorithms are proprietary and subject to change without notice
- • Results vary by industry, location, competition, budget, and implementation quality
- • Agency provides best-effort services but cannot promise specific rankings, traffic numbers, leads, or revenue
Any testimonials, case studies, or examples of past results are not guarantees of future performance.
7.2 Liability Limitations
To the fullest extent permitted by law, Michel Lopez shall not be liable for:
- • Indirect, incidental, special, consequential, or punitive damages (lost profits, lost revenue, lost data, business interruption, etc.)
- • Third-party actions, including search engine penalties, algorithm updates, or competitive activities
- • Client's website downtime, hosting issues, or technical problems
- • Client's failure to implement recommendations or provide required access
- • Errors or omissions in Client-provided information or content
- • Acts of God, war, terrorism, natural disasters, or government actions
Agency's total liability shall not exceed the amount paid for services in the 6 months preceding the claim.
7.3 Client Indemnification
Client agrees to indemnify, defend, and hold harmless Michel Lopez, its employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- • Client's breach of these Terms
- • Client's negligence or willful misconduct
- • Infringement of third-party intellectual property rights by Client's content
- • Violation of laws, regulations, or third-party terms of service
- • Client's products, services, or business practices
8. Service Term & Termination
8.1 Term
Service engagements typically begin on the start date specified in your service agreement and continue month-to-month unless terminated pursuant to these Terms. Initial contract terms are generally 3, 6, or 12 months, as specified in your service agreement.
8.2 Termination by Client
Client may terminate services by providing 30 days written notice. Early termination fees may apply:
- • Within initial term: Client remains responsible for all fees through the end of the initial term
- • After initial term: 30 days notice required; fees pro-rated through notice period
Upon termination, Client must pay all outstanding invoices and expenses. Client remains responsible for all ad spend incurred through the termination date.
8.3 Termination by Agency
Agency may terminate services with 30 days written notice for any reason or immediately for cause:
- • Client's material breach of these Terms (non-payment, unauthorized activities, etc.)
- • Client's failure to provide necessary access, information, or approvals
- • Client engaging in illegal, unethical, or fraudulent activities
- • Client harassing, abusing, or threatening Agency staff
- • Client's activities damaging Agency's reputation or business interests
8.4 Effect of Termination
- • All fees owed through termination date become immediately due and payable
- • Agency will transfer Client's accounts, data, and materials within 14 days of termination
- • Client licenses for Agency tools and methodologies terminate immediately
- • Agency may remove Client's information from its website and marketing materials
- • Client remains liable for any obligations incurred during the service term
9. Confidentiality & Data Protection
Both parties agree to maintain the confidentiality of all non-public information obtained during the course of providing digital marketing services Toronto.
Confidential Information includes but is not limited to:

10. Independent Contractor Relationship
The relationship between Michel Lopez and Client is that of independent contractor and principal. Nothing in these Terms shall be construed to:
- • Create a partnership, joint venture, or agency relationship
- • Establish an employer-employee relationship
- • Authorize either party to act as agent for the other
- • Grant either party authority to bind the other in any contract or agreement
Agency is an independent contractor responsible for its own taxes, benefits, insurance, and business expenses. Agency has no authority to enter into contracts on Client's behalf unless expressly authorized in writing.
11. Force Majeure
Michel Lopez shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to:
- • Acts of God, war, terrorism, or natural disasters
- • Government laws, regulations, or restrictions
- • Strikes, labor disputes, or shortages
- • Internet service provider failures, power outages, or utility interruptions
- • Search engine algorithm changes or platform policy modifications
- • Third-party service disruptions (Google Ads, Facebook, hosting providers, etc.)
Agency will notify Client promptly of any force majeure event and use reasonable efforts to resume services as soon as practicable.
12. Dispute Resolution & Governing Law
12.1 Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of Ontario, Canada and the laws of Canada applicable therein. Any disputes arising from these Terms or our digital marketing services shall be resolved in the courts of Toronto, Ontario.
12.2 Dispute Resolution Process
- • Negotiation: Parties agree to attempt good faith negotiation to resolve any disputes informally
- • Mediation: If negotiation fails, parties agree to non-binding mediation before pursuing legal action
